Welcome to ReferMonkey. By accessing or using our referral matching platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our service.

These Terms constitute a legally binding agreement between you and ReferMonkey. We reserve the right to modify these Terms at any time, and your continued use of the platform constitutes acceptance of any changes.

2. Description of Service

ReferMonkey is a referral code matching platform that connects users who have referral codes for various apps and services ("Referrers") with users who want to use those referral codes ("Referees"). Our service facilitates:

• Sharing and claiming referral codes
• Matching Referrers with Referees
• Tracking referral completion and rewards
• Processing reward payments
• Providing analytics and activity tracking

ReferMonkey acts as an intermediary platform and is not responsible for the referral programs themselves, which are operated by third-party companies.

3. User Accounts and Eligibility

3.1 Account Creation

To use ReferMonkey, you must create an account through our authentication provider (Clerk). You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

3.2 Eligibility

You must be at least 18 years old to use ReferMonkey. By using our service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

4. Referral Program Rules

4.1 Referral Code Accuracy

As a Referrer, you agree to:

• Provide accurate and valid referral codes
• Ensure you are eligible to share referral codes under the third-party program's terms
• Keep your referral codes up to date
• Not share expired or invalid codes
• Accurately represent reward amounts and terms

4.2 Referee Obligations

As a Referee, you agree to:

• Complete the full signup process using the provided referral link
• Meet all eligibility requirements of the third-party referral program
• Not create multiple accounts to abuse referral offers
• Mark referrals as complete only when genuinely finished
• Comply with all terms and conditions of the third-party service

4.3 Prohibited Activities

You must not:

• Manipulate or game the referral system
• Create fake accounts or use automated bots
• Share false or misleading information about rewards
• Engage in fraudulent signups or transactions
• Violate the terms of any third-party referral program
• Harass, spam, or abuse other users
• Attempt to circumvent subscription limits or payment requirements

5. Subscription and Payment Terms

5.1 Free and Premium Plans

ReferMonkey offers both free and premium subscription plans. Free users are limited to 3 referral matches. Premium subscribers have unlimited matches and additional features. Subscription fees are processed through Stripe and are non-refundable except as required by law.

5.2 Referral Rewards

Referral rewards are determined by third-party companies, not ReferMonkey. We track and facilitate reward completion but do not guarantee:

• The amount or timing of rewards from third parties
• That all referrals will result in rewards
• That third-party programs will remain active

You are responsible for confirming reward receipt with the third-party service provider. ReferMonkey's role is limited to matching and tracking only.

5.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period. Refunds are generally not provided for partial subscription periods, except as required by applicable law.

6. Intellectual Property

All content, features, and functionality of ReferMonkey, including but not limited to text, graphics, logos, software, and design, are owned by ReferMonkey and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the platform for its intended purpose. You may not:

• Copy, modify, or distribute our content or software
• Reverse engineer or attempt to extract source code
• Remove or alter any copyright or proprietary notices
• Use our branding without written permission

7. Third-Party Services

ReferMonkey integrates with third-party services including Clerk (authentication) and Stripe (payments). Your use of these services is subject to their respective terms and policies. We are not responsible for the practices or content of third-party services.

Similarly, the referral programs for apps and services on our platform are operated by third parties. We do not endorse, control, or assume responsibility for these programs. You participate in them at your own risk.

8. Disclaimer of Warranties

ReferMonkey is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Uninterrupted or error-free operation
• Accuracy or reliability of information
• Security from unauthorized access or viruses
• Achievement of specific referral rewards

You use the platform at your own risk and discretion.

9. Limitation of Liability

To the maximum extent permitted by law, ReferMonkey and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or data
• Loss of use or opportunity
• Business interruption
• Referral rewards not received from third parties
• Unauthorized access to your account

Our total liability to you for any claims arising from these Terms or your use of the platform shall not exceed the amount you paid to us in the 12 months preceding the claim, or £100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless ReferMonkey and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the platform
• Your violation of these Terms
• Your violation of third-party rights
• Your referral code information or activities
• Disputes with other users

11. Termination

We may suspend or terminate your account and access to ReferMonkey at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or abusive behavior
• Extended period of inactivity
• Legal or regulatory requirements
• Any other reason at our sole discretion

You may terminate your account at any time through your profile settings. Upon termination, your right to use the platform immediately ceases, but provisions regarding disclaimers, limitations of liability, and dispute resolution survive.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

12.2 Informal Resolution

Before initiating formal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at support@refermonkey.com. We will work in good faith to resolve the matter within 30 days.

12.3 Jurisdiction

Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification to registered users (for significant changes)

Your continued use of ReferMonkey after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the platform.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReferMonkey regarding use of the platform.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer our rights and obligations without restriction.
